Terms of Service

Article 1. The Service

The services the Company provides include, without limitation: subscription website design and build, website hosting and maintenance, SEO and digital marketing, LINE bots and automation tools, app development, and other value-added services agreed by both parties (together, “the Service”). The actual scope, specifications and customizations of the Service are governed by the contract signed by both parties or the contents of the order.

Article 2. Fees and Payment

• The Service is a subscription, billed monthly or annually (the annual plan is paid in full for the year in one payment). The fees, payment schedule, rights and obligations of each plan are as set out in the plan you choose and the service contract signed by both parties; contracts already signed are governed by their original terms.
• The Service is completed first, paid for afterwards: no fee is charged until the website is completed and you have accepted it, and billing starts after acceptance.
• All fees are in New Taiwan dollars and include tax. The Company offers several payment methods, and you may choose the one that suits you; if you pay online, the Company does not store your full payment account or card details.
• The monthly plan has no lock-in period: you may at any time ask to stop further charges in accordance with these Terms and the Refund Policy (with thirty days’ notice). If an annual plan is terminated early, the setup-fee discount must be repaid as set out in the service contract.

Article 3. Account and Information

You shall provide correct, complete and up-to-date contact and billing information, and you are responsible for safeguarding and using your account. You are responsible for any loss arising from inaccurate information or negligence in safeguarding your account.

Article 4. Your Obligations

When using the Service and providing materials (text, images, audio, video and the like), you undertake to comply with the applicable laws of the Republic of China (Taiwan) and not to:

• Infringe the intellectual property, privacy, reputation or other lawful rights and interests of others.
• Post or transmit illegal, fraudulent, pornographic, defamatory or otherwise improper content.
• Interfere with or disrupt the normal operation of the Service or its servers by unlawful means.

If materials you provide or your use of the Service breach the above and cause loss to the Company or a third party, you shall be fully liable for compensation.

Article 5. Intellectual Property

All intellectual property rights in the Company’s platform system, program code, technical architecture, design templates, brands and trademarks belong to the Company. Rights in the content and materials a client provides for its website remain with the client; for the term of the contract, the client licenses the Company to use them as necessary to provide the Service. The right to use custom designs is as agreed in the contract between the parties; however, the source code of the platform system and the database structure are not delivered, and their intellectual property rights remain with the Company.

Article 6. Suspension and Termination

The Company may suspend or terminate all or part of the Service in any of the following cases: the client fails to pay as agreed, breaches these Terms, or as required by law or by a competent authority. Refunds after termination of the Service are handled under the Refund Policy.

Article 7. Disclaimer and Limitation of Liability

The Company will provide the Service with reasonable professional care, but is not liable for loss caused by force majeure, by interruption of third-party services (such as domains, hosting, payment processing or social media platforms), or by any other cause not attributable to the Company. To the maximum extent permitted by law, the Company’s liability for compensation is capped at the total fees actually paid by the client to the Company in the most recent twelve months.

Article 8. Refunds and Privacy

For refund conditions and procedures, see the Refund Policy; for the collection, processing and use of personal data, see the Privacy Policy. These policies form part of these Terms.

Article 9. Changes to These Terms

The Company may amend these Terms as its operations require and will announce the changes on the website. If you continue to use the Service after the amendment, you are deemed to agree to the amended Terms.

Article 10. Governing Law and Jurisdiction

These Terms are interpreted and applied under the laws of the Republic of China (Taiwan). For any dispute arising from the Service, both parties agree that the Taiwan Taipei District Court shall be the court of first instance.
